ARTICLE I – NAME
The name of this organization shall be the Wink Band Boosters, hereinafter referred to as the Band Boosters.


ARTICLE II – PURPOSE
The purpose of the Band Boosters shall be:


ARTICLE III – MEMBERSHIP
Section 1: The membership of the Band Boosters shall be open to anyone interested in the progress and development of the band programs of the Wink-Loving ISD.
Section 2: Parents or legal guardians of current band members shall be voting members.
Section 3: All other members shall be non-voting members.


ARTICLE IV – OFFICERS
Section 1: The officers of the Band Boosters shall be President, Vice President, Secretary, and Treasurer.
Section 2: Only voting members shall be eligible to serve as officers.
Section 3: The officers shall be elected to serve a term of one (1) year. Any officer may be elected to serve more than one term.
Section 4: The Nominating Committee (specified in Article VIII, Section 2) shall present the name of at least one (1) candidate for each office at the regular April meeting, following which additional nominations may be made from the floor.
Section 5: Officers shall be elected by ballot at the regular May meeting and shall take office on June 1st. A majority vote of the members present shall constitute an election.
Section 6: In the event the office of President shall become vacant, the Vice President shall become President. In the event any other office shall become vacant, it shall be filled at the next regular meeting by a majority vote of the membership present.


ARTICLE V – DUTIES OF OFFICERS
Section 1: The President shall preside at all Band Booster and Executive Committee meetings, shall appoint all committee chairmen, shall be an ex-officio member of all committees, and shall act as a liaison between the Band Boosters and the Band Director.
Section 2: The Vice President shall assume all the duties of the President in his absence and other duties as may be assigned by the President. The Vice President shall be chairman of the Fundraising Committee.
Section 3: The Secretary shall keep the membership records and minutes of all Band Booster and Executive Committee meetings, shall present a copy of the minutes to each member of the Executive Committee within one (1) week following meetings, and shall attend to the correspondence.
Section 4: The Treasurer shall receive all monies accruing to the club and shall deposit them in an approved depository under the name of the Wink Band Boosters, shall pay all bills within two (2) weeks, and shall keep an accurate and complete record of all receipts and disbursements. The Treasurer shall be a member of the Fundraising Committee.
Section 5: The President or Vice President or Secretary and the Treasurer shall be authorized to sign checks—two signatures per check.


ARTICLE VI – EXECUTIVE COMMITTEE
Section 1: The Executive Committee shall consist of the President, Vice President, Secretary, Treasurer, and Band Director. The Band Director shall serve in a non-voting, advisory capacity only.
Section 2: The Executive Committee shall have general supervision of the affairs of the club, and shall meet at least once monthly, in addition to the regular quarterly meeting of the Band Boosters. Minutes of the Executive Committee meetings shall be available to the general membership.
Section 3: The Executive Committee shall have the emergency power to act for the membership between meetings of the organization.
Section 4: Non-budgeted expenditures under $100 may be made by any Executive Committee member without having to seek prior approval of the voting body. Any non-budget expenditure exceeding $100 must be approved by the Executive Committee.
Section 5: The Band Director shall provide to the rest of the Executive Committee and the general membership a monthly report of the activities and financial expenses relating to the Band Boosters’ contribution to the band program.


ARTICLE VII – MEETINGS
Section 1: The Band Boosters shall hold a regular meeting quarterly, or as needed, August through May, on a date determined by the Executive Committee. Notice of the date, place and business to be transacted shall be given to the members at least five (5) days in advance. Only that business for which notice has been given shall be transacted.
Section 2: A special meeting may be held upon the call of the President or on the written request of any ten (10) members. The purpose of the meeting shall be set forth in the notice of the meeting.
Section 3: A Quorum shall consist of those members present.
Section 4: Meetings of the Band Boosters shall be open to the public.


ARTICLE VIII – COMMITTEES
Section 1: The Fundraising Committee shall provide fundraising activities, in compliance with Wink-Loving ISD policy, to support all phases of the band programs. The Vice President shall be the chairman of this committee, and the Treasurer shall serve on it. This committee shall submit their plans for raising funds to the Executive Committee for approval prior to submission to the membership for final approval.
Section 2: The Nominating Committee shall present the name of at least one (1) candidate for each office at the regular April meeting, following which additional nominations may be made from the floor. All nominees shall be contacted by the Nominating Committee in order to obtain each person’s acceptance of the nomination. The committee shall consist of five (5) voting members, one representing the 7th, 8th, 9th, 10th, and 11th grades.
Section 3: The Scholarship Committee shall award two (2) scholarships each year to graduating seniors chosen by application. The committee shall consist of voting members who do not have graduating seniors applying for scholarships.
Section 4: The School Auditor shall conduct an annual audit of the funds and financial records of the Band Boosters yearly, and shall present the findings to the Executive Committee.
Section 5: Other special committees shall be created by the President as needed, and shall consist of a minimum of two (2) people.
Section 6: All monies received by chairpersons shall be turned over to the Treasurer. No committee chairperson shall hold monies in excess of $100 for more than one (1) week.


ARTICLE IX – PARLIAMENTARY AUTHORITY
The current edition of Robert’s Rules of Order shall govern the proceedings of the Band Boosters in all cases not covered by these Bylaws and any special rules the Band Boosters may adopt.


ARTICLE X – AMENDMENTS
The Constitution and Bylaws of the Wink Band Boosters may be amended at any regular or special meeting by a two-thirds vote, provided that previous notice of the amendment was given to all members at the preceding regular meeting of the organization.
